The duty should be imposed, to the mem- bers of the company’s boards and committees, of promptly informing the respective board or committee of facts that could constitute or give rise to a conflict between their interests and the company’s interest. Procedures should be adopted to guar- antee that the member in conflict does not in- terfere in the decision-making process, without prejudice to the duty to provide information and other clarifications that the board, the commit- tee or their respective members may request.
