The company should not set an excessively high number of shares to confer voting rights, and it should make its choice clear in the corpo- rate governance report every time its choice en- tails a diversion from the general rule: that each share has a corresponding vote. Adopted 12 to 14 II.2. The company shall not adopt mecha- nisms that make decision making by its shareholders(resolutions) more difficult, specifi- cally, by setting a quorum higher than that es- tablished by law. The company should implement adequate means for the exercise of voting rights through postal votes, including by electronic means. partially adopted 12 and explanation below II.4. The company should implement adequate means in order for its shareholders to be able to digitally participate in general meetings. Not adopted v.d. explanation below II.5. The bylaws, which specify the limitation of the number of votes that can be held or exercised by a sole shareholder, individually or in coordination with other shareholders, should equally provide that, at least every 5 years the amendment or maintenance of this rule will be subject to a share- holder resolution without increased quorum in comparison to the legally established and in that resolution, all votes cast will be counted without observation of the imposed limits.
