FISCAL BOARD REPORT Fiscal Board Report To the Shareholders of IBERSOL SGPS, S.A.: In compliance with legal and statutory requirements, the Fiscal Board, in fulfilment of their mandate, prepared this report regarding their supervisory action carried out in the 2025 fiscal year, as well as on the Management Report and the individual and consolidated Financial Statements of the company submitted by the Board of Directors for the financial year ended on 31 December 2025, hereby issuing the consequent opinion: 1. Supervisory Activity Report: The Fiscal Board, within the scope of its competencies and mandate, during the 2025 financial year, regularly monitored the management of the company and its subsidiaries, having received for that purpose, timely and adequate information from the Board of Directors and the Statutory/External Auditor KPMG & Associados, SROC, S.A. Throughout 2025, the Fiscal Board held seven meetings attended by all three members, and two meetings in which the Chairman, due to illness, was unable to attend. The matters subject to their competencies and duties were analysed and minutes of all the meetings held were prepared. At the ordinary quarterly meetings the Statutory/External Auditor, KPMG & Associados, SROC, S.A., was always present, duly represented by Dr. José Miguel Ribeiro da Silva Marques, Statutory Auditor number 1763. The Statutory/External Auditor KPMG & Associados, SROC, S.A. , submitted and proposed to the Fiscal Board, at a meeting convened for that purpose, the “Audit and Strategy Plan for 2025” which included the main points and planning of its supervisory activity, as well as the schedule and members assigned to the team for the financial year. During the year they provided detailed information on the auditing pro- cedures carried out and the conclusions reached. At its quarterly meetings, the Fiscal Board also had the participation of the Board of Directors, from which it received information on the company’s business activities and other details necessary to comprehend the financial information prepared by the Board of Directors prior to the disclosure thereof. The Fiscal Board did not encounter any constraints during their supervisory action, having monitored the system for receiving and handling reports of irregularities included in the Internal Reporting Channel created by the company. The Fiscal Board exercised its responsibilities regarding the supervision of the activity and independence of the Statutory/External Auditor, and is of the opinion that the recommended practices were observed. The Fiscal Board expressed a favourable opinion regarding the pro- vision of services additional to auditing services, by the Statutory/External Auditor having considered that independence was safeguarded, the services were legally permitted , the fees were in line with market conditions and also that it was in the Company’s interest to benefit 552
