INTEGRATED MANAGEMENT REPORT 2025 It should be noted that, under article 407(8) of the Portuguese Companies Code, the said delegation does not exclude the competence of the Board of Directors to pass resolutions on the same matters. The Executive Committee ensures the operational coordination of the functional departments and of the different corporate businesses, meeting with the respective directors on a regular basis. The decisions taken by the Functional and Business Directors, which must comply with the overall guidelines, arise from the del- egation of powers conferred by the Executive Committee and are coordinated at the said meetings. The Executive Committee, whose Regulations were formally approved by the Board of Directors in 2025, meets monthly and whenever the Chairman convenes it. Without prejudice to the regular contacts estab- lished and maintained between the members of the Executive Committee during the periods between meet- ings, 12 formal meetings were held in 2025, the matters discussed being set out in the respective minutes drawn up and recorded in the appropriate book. Under its Regulations, the members of the Executive Committee provide in due time the information re- quested from them by other members of the corporate bodies and also ensure the provision and/or dis- closure of the information necessary and/or required, in the forms imposed by law or regulation or through other procedures that prove agile and effective, to the Company’s corporate bodies, the Company Secretary, shareholders, third parties with a relevant interest and other stakeholders, as well as to the market in general. Within the framework of the definition, by the Board of Directors, of the Company’s strategy and its medium and long term objectives, the Ibersol Group has adopted a Sustainability Programme which aims to improve the Group’s ESG (environmental, social and governance) performance, ensuring the creation of shared value with stakeholders, guaranteeing compliance with regulatory requirements in the area of corporate sustaina- bility and maintaining the high levels of quality, effectiveness, efficiency and reputation historically associat- ed with its restaurant operations. During 2025, with reference to the European Union legal framework for the reporting of non financial infor- mation (namely the CSRD – Corporate Sustainability Reporting Directive and the ESRS – European Sustain- ability Reporting Standards), the Ibersol Group continued to develop its Sustainability Programme, imple- 267
