It is further noted that the said non executive director, being a member of grouped and affiliated companies of the Ibersol Group at non executive level on their respective Boards of Directors, does not collaborate in nor interfere with their day to day management, nor does he provide any such company with any other form of collaboration, nor does he hold any other commercial relationship (significant or not), whether of services provision or otherwise, and he is not the beneficiary of any form of remuneration other than that received annually as non executive director of Ibersol, SGPS SA. It should be emphasised that this non executive member has exercised his office continuously since 1999, as a result of successive elections at subsequent electoral general meetings, and that this circumstance does not constitute a factor of actual non independence, but rather a circumstance merely resulting from the pas- sage of time and not from the described effective material conditions of the exercise of his corporate office – it not being observed that such a temporal factor has affected or conditioned, in any respect, his necessary impartiality in analysis and decision making during his respective terms of office and up to the present date. It should be highlighted that the said non executive directors exercise their offices in the context of mutual and integrated functional coordination established between them, which has promoted, in all respects, an effective and efficient response by them to the demands of their respective corporate mandates. 19.
