Conflicts of interest I.4.1. .The members of the managing and super- visory boards and the internal committees are bounded, by internal regulation or equivalent, to inform the respective board or committee whenever there are facts that may constitute or give rise to a conflict between their interests and the company’s interest. Procedures should be adopted to guar- antee that the member in conflict does not in- terfere in the decision-making process, without prejudice to the duty to provide information and other clarifications that the board, the commit- tee or their respective members may request. The managing body should disclose in the corporate governance report or by other means publicly available the internal procedure for veri- fying transactions with related parties.
