Conflicts of interest I.4.1. .The duty should be imposed, to the mem- bers of the company’s boards and committees, of promptly informing the respective board or committee of facts that could constitute or give rise to a conflict between their interests and the company’s interest Adopted 49, 89 to 92 I.4.2. Procedures should be adopted to guarantee that the member in conflict does not interfere in the decision-making process, without prejudice to the duty to provide information and other cla- rifications that the board, the committee or their respective members may request.
